Terms of Use

Please read these Terms of Use ("Terms") carefully before accessing or using NexlaHQ ("the Platform"). By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and the operating organization ("we," "us," or "our") governing your use of the Platform. If you do not agree to these Terms in their entirety, you must not access or use the Platform.

These Terms apply to all users, including administrators and authorized personnel. We reserve the right to modify these Terms at any time. Continued use of the Platform after modifications constitutes acceptance of the updated Terms.

2. Platform Description

NexlaHQ is a secure advertising management dashboard that provides a centralized interface for managing advertising operations on TikTok using authorized TikTok authentication. The Platform is built on the TikTok Marketing API and is intended exclusively for use by authorized personnel operating on behalf of approved TikTok Business Accounts.

The Platform enables authorized users to perform the following operations through the TikTok Marketing API:

  • Campaign management: creating, editing, and monitoring advertising campaigns within authorized TikTok Business Accounts.
  • Ad group management: configuring and managing ad groups, targeting parameters, and scheduling within authorized campaigns.
  • Creative management: uploading, organizing, and associating image and video creative assets with active advertising campaigns.
  • Analytics and reporting: accessing performance data, impressions, clicks, spend metrics, and conversion reporting for authorized accounts.
  • Account administration: managing authorized Business Centers and advertiser accounts connected via TikTok OAuth2.

The Platform does not provide any services unrelated to the above. All operations interact with TikTok's official API endpoints using tokens explicitly issued through TikTok's OAuth2 authorization process.

3. Eligibility and Access

Access to the Platform is strictly limited to individuals who have received an invitation or authorization from the platform administrator. Unauthorized registration or access attempts are prohibited.

By using the Platform, you represent and warrant that:

  • You are at least 18 years of age.
  • You are an authorized representative or employee of the operating organization.
  • You have the legal authority to bind yourself (and, where applicable, your organization) to these Terms.
  • You have been granted explicit authorization to manage the TikTok Business Accounts you access through the Platform.

4. Authorized Use

The Platform is provided exclusively for authorized advertising management operations as described in Section 2. By accessing the Platform, you agree to:

  • Use the Platform solely for its intended purpose of managing TikTok advertising operations on behalf of authorized Business Accounts.
  • Maintain the confidentiality of your login credentials and not share account access with any other person.
  • Comply with TikTok's Advertising Policies, Community Guidelines, and Developer Terms of Service in all operations conducted through the Platform.
  • Operate only on TikTok Business Accounts for which you hold explicit, documented authorization.
  • Promptly notify the platform administrator of any unauthorized access to your account or any suspected security breach.
  • Not attempt to access, probe, or test the security of the Platform or any connected systems without prior written authorization.

5. Prohibited Activities

You expressly agree not to use the Platform to:

  • Access or manage TikTok accounts for which you lack documented authorization.
  • Create, submit, or promote advertising content that violates TikTok's Advertising Policies, Community Guidelines, or applicable law.
  • Circumvent, disable, or interfere with any security feature or access control of the Platform or the TikTok API.
  • Harvest, scrape, or systematically extract data beyond what is required for authorized advertising operations.
  • Misrepresent your identity, authority, or relationship to any TikTok Business Account.
  • Use the Platform for any purpose that violates applicable federal, state, or international law or regulation.
  • Transmit malware, viruses, or any other malicious code through the Platform.
  • Reverse-engineer, decompile, or disassemble any component of the Platform.

6. TikTok API Compliance

All Platform operations are executed through the official TikTok Marketing API using valid OAuth2 tokens issued through TikTok's standard authorization flow. By using the Platform, you agree to:

  • Comply with the TikTok Marketing API Terms of Service as they apply to operations performed through this Platform.
  • Accept that TikTok's own Terms of Service and Privacy Policy govern data processed by TikTok's API.
  • Acknowledge that the Platform's continued operation is contingent on compliance with TikTok's Developer Program policies.
  • Not use the Platform in any manner that would constitute a violation of TikTok's Developer Terms or result in suspension of API access.

The Platform is not affiliated with, endorsed by, or officially certified by TikTok or ByteDance Ltd. "TikTok" is a trademark of ByteDance Ltd. Our use of TikTok's API is governed by the applicable API Terms of Service.

7. Campaign Data and Advertising Operations

You are solely responsible for the content, accuracy, legality, and compliance of all advertising campaigns, creatives, and operations you submit or manage through the Platform. This includes:

  • Ensuring all advertising content complies with TikTok's Advertising Policies and applicable consumer protection laws.
  • Verifying campaign parameters, targeting settings, and budget configurations before activating live campaigns, as errors may result in advertising spend.
  • Reviewing analytics and reporting data for accuracy before using it as the basis for business decisions.
  • Ensuring creative assets comply with TikTok's creative specifications and content standards.

The Platform provides a preview and validation capability to assist users in reviewing configurations before submission to the TikTok API. Use of this capability does not transfer responsibility for the content or accuracy of submitted operations to the operating organization.

8. Account Security

You are responsible for maintaining the security of your Platform account. Specifically, you must:

  • Use a strong, unique password that is not reused across other services.
  • Log out of the Platform when using shared or public devices.
  • Not share your credentials, session tokens, or account access with any other individual.
  • Notify the administrator immediately at suporte@nexlahq.com if you suspect unauthorized access to your account.

The organization reserves the right to suspend or terminate any account it determines, in its sole discretion, to be involved in unauthorized access, policy violations, or security incidents.

9. Intellectual Property

The Platform, including its user interface, design, source code, documentation, and all associated intellectual property, is proprietary to the operating organization. All rights are reserved.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for its intended purpose during the period of your authorized access. You may not copy, distribute, sublicense, modify, or create derivative works of any Platform component without explicit written authorization.

10. Analytics and Reporting Data

Performance data, analytics, and reports retrieved through the Platform are sourced from the TikTok Marketing API and reflect information held by TikTok for authorized accounts. The Platform presents this data as received from TikTok; we make no representations as to its completeness, timeliness, or fitness for any particular business purpose.

Users are responsible for validating reported data against TikTok's native reporting tools before relying on it for material business decisions, financial reporting, or external distribution.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant:

  • That the Platform will be continuously available, error-free, or free from security vulnerabilities.
  • That results obtained through the Platform will be accurate, complete, or suitable for any specific purpose.
  • That TikTok API availability, functionality, or data accuracy will remain consistent or uninterrupted.
  • That the Platform will meet any regulatory requirements applicable to your specific industry or jurisdiction.

12. Limitation of Liability

To the maximum extent permitted by applicable law, the operating organization and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to:

  • Advertising expenditure resulting from campaigns created or modified through the Platform.
  • Loss, corruption, or unavailability of data.
  • Loss of revenue, business opportunities, or goodwill.
  • Service interruptions, API unavailability, or changes to TikTok's API.
  • Security incidents arising from the compromise of your individual account credentials.

Where liability cannot be excluded by law, our total liability to you shall not exceed the greater of the amounts paid by you for use of the Platform in the twelve months preceding the claim, or USD $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless the operating organization and its officers, directors, employees, and agents from and against any claims, liabilities, damages, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Platform in violation of these Terms.
  • Advertising content or campaigns you create or manage through the Platform.
  • Your violation of any applicable law or TikTok's policies.
  • Any unauthorized access resulting from your failure to maintain account security.

14. Termination

The operating organization may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms, inactivity, or organizational changes.

You may terminate your use of the Platform at any time by contacting the administrator to request account deletion. Upon termination, your license to use the Platform ceases immediately. Sections that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — shall remain in effect.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which the operating organization is incorporated, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

16. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the operating organization with respect to your use of the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written.
